Terms of Service

Last updated: January 15, 2025. These Terms govern access to our website, subscription plans, and digital services. By browsing our site or purchasing a plan you agree to these Terms, along with our Privacy and Cookie Policies.

Binary Dev delivers ongoing website improvements, task-based enhancements, and integration support for teams who need continuous digital velocity. Please read this document carefully—it summarises how our credits work, what we deliver, and your responsibilities as a client.

1. Overview

Binary Dev provides task-based web development, design, and integration services via monthly subscriptions, solution design sessions, and custom engagements. Our services help teams ship continuous website enhancements, on-demand improvements, and long-term digital roadmaps.

2. Services Provided

2.1 Subscription Plans

  • Plans (Try Us, Starter, Essentials, Growth) include defined monthly credits and per-request limits.
  • Credits are consumed per task according to published complexity rules.
  • Active request volumes are capped per plan tier.
  • Coverage includes website updates, landing-page enhancements, content edits, UI improvements, and selected integrations.

2.2 Solution Design (One-off)

One-time consultations to recommend the right plan and produce a 1–2 page PDF outlining scope, estimates, and an implementation roadmap.

2.3 Custom Plan

Bespoke engagements with unlimited credits, dedicated support, advanced integrations, complex builds, and long-term technical planning.

2.4 Technical Scope

Depending on plan, we work with Webflow, WordPress, Shopify, React/Next.js, Vercel, headless CMS, APIs, and UI/UX improvements. Work outside the agreed scope is excluded.

3. Client Responsibilities

  • Provide accurate information, credentials, assets, feedback, and approvals.
  • Maintain access to hosting platforms and third-party services.
  • Submit tasks that fit within plan limits and credit rules.
  • Understand that delays caused by missing materials or unresponsiveness affect delivery timelines.

4. Credits and Task Usage

4.1 Monthly Credits

  • Credits reset each billing cycle and do not roll over.
  • Each task consumes credits based on its complexity.
  • Tasks may be split or reclassified if the actual scope differs.

4.2 Additional or Out-of-Scope Work

Work beyond your plan may require upgrading, purchasing add-on hours, or commissioning a custom engagement. We will always seek approval before incurring extra cost.

5. Payment & Billing

5.1 Subscription Billing

Subscriptions renew automatically. Fees are non-refundable once the billing cycle begins. Cancelling stops the next renewal but not the current period.

5.2 Payment Processing

Payments run through approved providers (e.g., Stripe). You authorise them to store payment info and process recurring fees.

5.3 Failed Payments

  • Active work may pause until payment succeeds.
  • Credits may be frozen.
  • Plans may be downgraded, suspended, or cancelled.

6. Intellectual Property

6.1 Ownership After Payment

When invoices are paid in full, clients own the final deliverables. Binary Dev retains internal tools, proprietary systems, and non-exclusive components.

6.2 Portfolio Use

Binary Dev may showcase non-confidential work unless you request otherwise in writing.

7. Timelines, Delivery, and Limitations

7.1 Delivery Expectations

We target ~48 business-hour response times depending on plan tier. Actual timelines depend on complexity, client responsiveness, and queue volume.

7.2 Limitation of Liability

Binary Dev is not liable for indirect, incidental, or consequential damages, nor third-party outages. Liability is capped at fees paid in the prior three months.

8. Termination

Either party may terminate with written notice. Outstanding fees remain due. Work in progress may be delivered proportionally based on completed credits. Credits and current subscription periods are non-refundable.

9. Acceptable Use

Services may not be used for fraud, harmful content, or unstable hosting environments. Binary Dev may suspend service if unacceptable use is detected.

10. Third-Party Services

We integrate with Stripe, HubSpot, Shopify, Google Analytics, Microsoft Clarity, Vercel, headless CMS, and similar tools. Binary Dev is not responsible for failures or data loss caused by third-party platforms.

12. Governing Law

These Terms are governed by the laws of Victoria, Australia. Disputes will be handled in the courts of Melbourne.
